Gavin C. Grusd

Gavin is a Partner at Ruskin Moscou Faltischek P.C., and a member of the firm’s Corporate & Securities Department; Co-Chair of the International Practice Group; Co-Chair of the Cannabis Law Group; and a Member of the Commercial Lending Practice Group, the Securities Disputes and Enforcement Practice Group, and the Insurance & Reinsurance Litigation, Dispute Resolution, Transactions, and Regulatory Problem Solving Practice Group.

Gavin counsels entrepreneurial, family and institutional businesses and their owners in all material aspects of their business lives, ranging from early-stage through growth and maturity to exit. He regularly represents new and seasoned enterprises in the areas of business formation; owner and investor relationships; executive compensation; equity incentives; deal structure and strategy; and business acquisition, exit and succession.

Gavin also guides clients in capital formation and financings through angel, venture and institutional investments; private placements and public offerings of equity and convertible securities; and debt financings.

He counsels businesses in a broad array of their material commercial relationships including, among others, manufacturing, distribution, licensing, e-commerce; technology and joint ventures.

Gavin routinely acts for strategic and financial buyers and sellers in business mergers, acquisitions, and sales. He advises company boards of directors and managers on their duties and responsibilities, and on corporate governance issues.

He also represents public companies in all facets of securities regulation, compliance and reporting.

Gavin’s matters and clients range from the New York metro area, nationwide, as well as internationally where he regularly acts for clients in international and cross-border transactions and financings.

In the cannabis law area, Gavin counsels clients in their entity formation, structure, financing and strategies while navigating compliance with cannabis-related laws, rules and regulations.

Gavin is a member, Director and Membership Committee Chair of The 100 Club, a New York City-based organization composed of business leaders in their respective fields.

Gavin is also an active member of XLNC, a global association of independent accounting, law, and management consulting firms which focuses on international collaboration and multidisciplinary business development.  Gavin regularly attends XLNC’s international conferences, where he presents on developments in corporate, transactional, and cross-border legal matters to an audience of global professionals.

Gavin is a member of the New York, Connecticut and Washington D.C. bars.
