Ms. Rosenbaum’s practice focuses on transactional and regulatory matters for healthcare clients, corporate structuring, and healthcare technology.
Ms. Rosenbaum works closely with firm partners to draft, redline, and negotiate complex corporate and commercial documents, including purchase and sale documents, employment agreements, management services agreements, and operating and shareholder agreements. Ms. Rosenbaum routinely assists with mergers and acquisitions, guiding matters through every phase from due diligence to closing. In addition, Ms. Rosenbaum analyzes federal and state referral laws, kickback statutes, telehealth, HIPAA and privacy requirements, and professional liability implications. Ms. Rosenbaum also forms new business entities and counsels clients on a broad spectrum of insurance, employment issues, and operational needs, including vendor contracts, medical records custody agreements, and healthcare leases.
Ms. Rosenbaum ‘s scholarly research on hospital building code regulation has been published by the American Bar Association. She has presented a CLE course about non-compete agreements and Supreme Court decisions affecting the healthcare industry at the New York State Bar Association’s Health Law Conference, in addition to speaking to graduating medical school residents regarding physician contract negotiation.
