RMF Attorneys Steve Kuperschmid and Nicole Osborne Named Adjunct Professors of Maurice A. Deane School of Law at Hofstra University

Uniondale, NY – August 2, 2022 – Ruskin Moscou Faltischek, P.C., announced today that Partner, Steve Kuperschmid and Associate, Nicole Osborne, have again been named adjunct professors of Maurice A. Deane School of Law at Hofstra University, Uniondale, New York. In that capacity, they will teach a course on the Fundamentals of the Law of Cybersecurity during the fall 2022 semester. This will be Mr. Kuperschmid’s fifth semester teaching this course and Ms. Osborne’s second.

The course will familiarize students with the geometrically expanding array of cyber risks and educate them on the ever-evolving statutory, regulatory and case law framework that has arisen in response to these modern torts and crimes. The course will highlight the most common and devastating types of cyberattacks as well as provide an in-depth analysis of the domestic and international statutes and case law governing cybersecurity.

Mr. Kuperschmid serves as Co-Chair of the firm’s Corporate & Securities Department and Chair of the firm’s Cybersecurity and Data Privacy Practice Group. Mr. Kuperschmid’s cyber practice focuses on all aspects of cybersecurity and data privacy including, due diligence in M&A transactions, advising major health care institutions relating to HIPAA and HITECH compliance, counseling major retail institutions regarding their PCI/DSS compliance and aiding in ensuring vendor compliance, negotiating cybersecurity and privacy provisions of client contracts, counseling regarding cybersecurity insurance coverage, advising regarding New York Department of Financial Services compliance, as well as managing data breach response and providing cybersecurity advice. Mr. Kuperschmid typically represents entrepreneurs, family businesses and publicly traded and privately owned institutional companies and private equity funds. Mr. Kuperschmid’s has vast experience representing start-up, development stage, mature and exiting clients in mergers and acquisitions, capital raising transactions (both public and private), board advisory and corporate governance matters, risk management, business succession planning, joint ventures, executive compensation, strategic relationships, licensing matters and almost every facet of a client’s  business legal needs.  He also has significant experience representing buyers and sellers of troubled companies.

Mr. Kuperschmid has served as a board member of both public and private companies. He was the Chairman of the Corporate Law Committee of the Nassau County Bar Association. He is a frequent lecturer and author on business law topics. Mr. Kuperschmid is the co-founder, co-chair, and a member of the board of directors of the Middle Market Alliance of Long Island. Mr. Kuperschmid serves on the Board of the Marty Lyons Foundation and the Long Island Chapter of the Institute of Management Accountants. Mr. Kuperschmid also co-chairs a CFO roundtable.

Ms. Osborne is a member of the firm’s Cybersecurity and Data Privacy Practice Group, Commercial Litigation Department, Employment Practice Group, Health Law Department, and the White Collar Crime and Investigations Practice Group. Ms. Osborne’s practice focuses in the cybersecurity arena as well as federal and state litigation. She has been engaged in numerous cybersecurity engagements ranging across industries and of all sizes. Ms. Osborne’s work includes advising businesses based on their level of cyberpreparedness and conducting risk and threat assessments, incident response planning, immediate incident response and remediation, privacy impact assessments, and defending against enforcement actions, government investigations and private party civil actions.

In addition to Ms. Osborne’s cybersecurity work, she has experience as a commercial litigator in both federal and state courts. Ms. Osborne has represented individuals and companies in a wide area of complex commercial litigation – including matters involving employer/employee disputes, trade secret misappropriation, business torts, breach of contract and shareholder disputes, professional liability (including claims related to Employment Practices Liability and Directors and Offices Insurance Policies), and Article 78 proceedings. Ms. Osborne also has experience in matters involving the employer-employee relationship. Ms. Osborne has experience handling wage and hour compliance and investigations, employment discrimination prevention, employee handbooks and trainings, administrative proceedings, disability accommodations and leave related issues. Ms. Osborne has also defended against claims in administrative and court proceedings relating to sexual harassment, age, race, and national origin discrimination, restrictive covenant violations, confidentiality violations, and trade secret theft for various clients, both large and small.
